Terms and Conditions

Welcome to RecruitSmart! These Terms & Conditions (“Terms”) govern your access to and use of the RecruitSmart website, portal, products, services, and software (collectively, the “Services”) by you or the entity you represent (“you”, “your”, “Customer”). By accessing or using our Services, you agree to these Terms. If you do not agree, you must not use the Services.

1. Definitions

  • Account: Your registration, login credentials, and profile with RecruitSmart that enables access to certain Services.
  • Customer Data: Any data, content, or information you upload, enter, or submit in connection with your use of the Services (including candidate information, resumes, documents, compliance information etc.).
  • Confidential Information: Information that is proprietary or confidential (including Customer Data, non-public business processes, etc.).
  • Fees: The charges you pay for access to premium features, plans, or services.
  • Trial Period: Any free or evaluation period during which you get access to Services without paying standard Fees.

2. Use of Services

  • You agree to use the Services only for lawful purposes and in compliance with applicable laws (including data protection, labour/employment, non-discrimination etc.).
  • You are responsible for keeping your Account credentials secure. You must notify us immediately of any unauthorised use of your account.

3. Registration, Accounts & Eligibility

  • You must be at least [18] years old (or the age of majority in your jurisdiction) and capable of forming binding contracts.
  • During registration, you must provide accurate information and update it as needed.

4. Subscription, Fees & Payment

  • The Services are offered under different subscription plans (Core, and Core Plus). You will pay the Fees associated with the plan you choose.
  • All payments are due in advance, unless otherwise stated.
  • If you fail to pay, we may suspend or terminate your access.
  • Taxes: You are responsible for any applicable taxes, duties, or charges imposed by any governmental authority.

5. Free Trial

  • If you sign up for a Trial Period, its length will be as specified on the website or in promotional materials.
  • During the Trial, you may have limited features. After the Trial expires, you automatically roll to the paid plan if you have given consent, or your access will be terminated or downgraded.

6. License & Intellectual Property

  • RecruitSmart grants you a non-exclusive, non-transferable, revocable license to use the Services (including any provided software, dashboards, tools) during the term of your subscription.
  • All rights, title, and interest in and to the Services (including software, user interface, text, graphics, logos, designs, underlying technology) are owned by RecruitSmart or its licensors.
  • You shall not copy, modify, reverse engineer, distribute, resell, or create derivative works from the Services, except as expressly permitted.

7. Customer Data; Data Rights & Security

  • You retain all rights to the Customer Data. You grant RecruitSmart a license to use Customer Data only as necessary to provide the Services (hosting, processing, backup, etc.).
  • You represent that you have the rights and consents necessary to share any Customer Data (including candidate personal data, third-party references etc.).
  • We shall implement reasonable technical and organisational measures to protect Customer Data against unauthorised access, disclosure or destruction.

8. Privacy

  • Use of personal data is governed by our Privacy Policy. By agreeing to these Terms, you also accept the Privacy Policy.

9. Compliance & Legal Obligations

  • You are responsible for compliance with all applicable laws (e.g. employment law, anti-discrimination, data protection) when using the Services, especially for screening, candidate selection, interviews, reference checking, and document/qualification verification.
  • You agree to cooperate with RecruitSmart in case of audits, compliance investigations, security issues, or legal requests.

10. Restrictions & Prohibited Uses

You must not:

  • Use the Services in a manner that is unlawful or harms others;
  • Upload malicious software, viruses, or anything that interferes with the Services;
  • Use automated means to access or use the Services (e.g. bots/scraping) except as expressly permitted;
  • Attempt to gain unauthorised access to any part of the Services or its systems.

11. Termination & Suspension

  • We may suspend or terminate your access (in whole or part) if you violate these Terms, fail to pay fees, or for any other reason with notice as required by law.
  • Upon termination, your license ends, and you must stop using the Services. We may delete or deactivate access to your Account and Customer Data per our data retention policy.

12. Warranties & Disclaimers

  • We provide the Services “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied (including satisfactory quality, fitness for a particular purpose).
  • We do not guarantee uninterrupted service, error-free performance, or that results obtained using the Services will meet your expectations.

13. Limitation of Liability

  • To the extent permitted by law, RecruitSmart (and its officers, employees, affiliates) shall not be liable for indirect, incidental, special, punitive or consequential damages (including lost profits, reputation loss, etc.).
  • Our aggregate liability to you for all claims arising under or related to these Terms shall not exceed the total fees you paid in the [six-month / one-year] period preceding the claim (or another limit, whichever is reasonable under applicable law).

14. Indemnification

You agree to indemnify, defend, and hold harmless RecruitSmart, its officers, agents, employees and partners against any claims, liabilities, damages, costs or expenses (including legal fees) arising out of:

  • Your breach of these Terms;
  • Your misuse of the Services;
  • Your violation of applicable laws;
  • Any claim by a third party relating to Customer Data you submitted or used.

15. Changes to Terms

  • We may modify or update these Terms from time to time. When changes are material, we’ll notify you (e.g. by email or via the Services). Your continued use after changes means you accept the modified Terms.

16. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of [Jurisdiction to be chosen: e.g. England & Wales / UAE / SG etc.].
  • Any disputes arising shall be resolved via arbitration / mediation / courts (choose what fits your company jurisdictions).
  • If any provision is found invalid or unenforceable, the remainder shall remain in full effect.

17. General Provisions

  • Entire Agreement: These Terms, together with any order forms, policies (Privacy Policy, Cookie Policy etc.), constitute the entire agreement between you and RecruitSmart.
  • No Waiver: Our failure to enforce any right shall not be deemed a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent; we may assign freely.
  • Notices: Legal notices will be given via email, postal address, or through the Services as appropriate.
